1. Introduction
These Terms of Service (the "Terms") are entered into by and between Stephanie Yvonne Simoes, IE (doing business as "Critikid," "we," "us," or "our") and the person or entity using our website, products, or services ("you").
These Terms govern your access to and use of www.critikid.com and any related content, digital products, classroom features, materials, and services we make available through the site (collectively, the "Services").
Please read these Terms carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy.
If you do not agree to these Terms, do not access or use the Services.
2. Eligibility and Authorized Use
The Services are intended for adults, and also for students and other minors when use is authorized and supervised by a parent, legal guardian, teacher, school, or educational organization, as applicable.
If you are using the Services for yourself, you represent that you have the legal capacity to enter into these Terms.
If you are under 18, you may use the Services only with the permission of a parent or legal guardian, or through a school, teacher, or educational organization that has authorized your use where permitted by law.
If you are a parent, legal guardian, teacher, school, or educational organization allowing a minor to use the Services, you are responsible for that minor's use of the Services and for ensuring that the use is authorized and complies with these Terms.
For the For Schools platform, student use may be authorized by a school, teacher, or educational organization as permitted by applicable law. For direct consumer use outside the For Schools platform, a parent or legal guardian must authorize a minor's use.
3. Privacy
Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, share, and protect personal information.
By using the Services, you acknowledge that you have read the Privacy Policy.
If there is any conflict between these Terms and the Privacy Policy regarding the handling of personal information, the Privacy Policy will govern with respect to personal information.
4. Changes to the Terms
We may update these Terms from time to time. When we do, we will post the revised version on the website and update the "Last updated" date above.
Changes will apply to your use of the Services after the updated Terms are posted. If we make a material change, we may also provide additional notice where reasonable.
Your continued use of the Services after the updated Terms take effect means you accept the revised Terms.
5. Accounts, Access, and Accuracy of Information
You agree to provide accurate, current, and complete information when using the Services.
Access to the Services may work in different ways depending on the product or plan, including by email-based access, one-time passcode, Google login, class code, or classroom link.
You are responsible for:
- maintaining the security of any email account, login method, passcode, class code, or access link used for the Services;
- using the Services only through authorized means; and
- ensuring that any information you submit to us is accurate and lawful to provide.
If you are a teacher, school, or educational organization using the For Schools platform, you are responsible for ensuring that permissions you provide are accurate and appropriately authorized.
6. Permitted Use and License
Subject to these Terms and any applicable purchase terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own personal, family, classroom, or internal educational use, in each case only in accordance with the plan, subscription, or product you purchased or were authorized to use.
This license does not include any right to:
- resell, sublicense, distribute, or commercially exploit the Services except as expressly permitted by us in writing;
- copy, reproduce, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit our content, except as permitted by any separate license or usage terms stated on the relevant content;
- remove copyright, trademark, or other proprietary notices;
- use the Services to build or train a competing product or service; or
- share access beyond the scope of the purchased plan or authorized classroom use.
All rights not expressly granted are reserved by us.
7. Prohibited Conduct
You agree not to use the Services:
- in any way that violates applicable law or regulation;
- to exploit, harm, or attempt to exploit or harm minors;
- to interfere with or disrupt the Services or the servers, networks, or systems connected to them;
- to gain unauthorized access to any part of the Services, other accounts, or related systems;
- to upload, transmit, or distribute viruses, malware, malicious code, or other harmful material;
- to send spam or other unauthorized promotional communications;
- to impersonate any person or entity or misrepresent your affiliation with any person or entity;
- to scrape, crawl, harvest, or copy the Services using automated or manual means except as permitted by standard public search indexing or with our prior written consent;
- to use the Services in a manner that could disable, overburden, damage, or impair them; or
- to use the Services, content, or materials outside the scope of your authorized plan, license, or classroom use.
8. Intellectual Property
The Services and all content, features, functionality, text, graphics, videos, audio, lesson materials, downloadable materials, software, and other materials made available through the Services are owned by us, our licensors, or other providers and are protected by applicable intellectual property laws.
No ownership rights are transferred to you. Except for the limited rights granted in these Terms or in any separate license or usage terms stated on specific content, you receive no right, title, or interest in the Services or any content.
9. Purchases, Billing, and Refunds
Some Services are paid. By making a purchase, you agree to provide current, complete, and accurate billing information.
We use Paddle, Inc. as our merchant of record for many transactions. Payment processing may also involve other service providers used by Paddle or by us. We do not store your full payment card details.
Refund eligibility is governed by our then-current Refund Policy or any more specific refund terms presented to you at checkout.
10. Third-Party Services and Links
The Services may contain links to third-party websites, tools, or services, or may rely on third-party providers for payment processing, analytics, hosting, login, security, communications, and related functions.
We are not responsible for third-party websites or services except as required by law. Your use of third-party services may also be subject to their own terms and privacy policies.
11. Availability and Changes to the Services
We may modify, update, suspend, or discontinue all or part of the Services at any time, with or without notice, to the extent permitted by law.
We do not guarantee that the Services, or any content or feature, will always be available, uninterrupted, or error-free.
12. Feedback and User Communications
If you send us feedback, reviews, or similar communications, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, and display that feedback for our business purposes, provided that we will handle personal information in accordance with our Privacy Policy.
If you submit a testimonial or similar public-facing statement, you represent that you have the right to provide it and that it does not violate any law or third-party right.
13. Disclaimers
To the maximum extent permitted by law, the Services and all content, products, and materials made available through them are provided on an "as is" and "as available" basis.
We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except to the extent such disclaimers are not permitted by applicable law.
We do not warrant that the Services will be uninterrupted, secure, error-free, or free from harmful components, or that any content will always be complete, accurate, or current.
Nothing in these Terms excludes any warranty or right that cannot be excluded under applicable law.
14. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of, or inability to use, the Services, including loss of classroom information, lesson progress, quiz scores, written responses, or other data.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid us for the relevant product or service during the 12 months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot lawfully be limited.
15. Indemnification
To the maximum extent permitted by law, you agree to indemnify and hold harmless Critikid and its owner, contractors, service providers, licensors, and agents from and against claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- your breach of these Terms;
- your misuse of the Services; or
- your violation of applicable law or the rights of a third party.
If you are a consumer, this section will apply only to the extent permitted by applicable law.
16. Termination
We may suspend or terminate your access to all or part of the Services if we reasonably believe:
- you have violated these Terms;
- your use of the Services creates legal, security, or operational risk; or
- suspension or termination is necessary to protect us, our users, schools, students, or third parties.
You may stop using the Services at any time.
Sections that by their nature should survive termination will survive, including sections on intellectual property, feedback, disclaimers, limitation of liability, indemnification, governing law, and dispute-related provisions.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Georgia, without regard to conflict-of-law principles.
Subject to any non-waivable rights you may have under applicable consumer law, the courts of the Republic of Georgia will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
18. Severability
If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
19. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms presented at checkout or in connection with a specific product or service, form the entire agreement between you and us regarding the Services, except to the extent applicable law provides otherwise.
